Suspension of October 20 Town Hall Lunch with ARMLS

Dear Members:

This letter is to inform you that the Board of Directors of BHCMVAOR (the “Board”) has decided to indefinitely suspend the previously-scheduled Town Hall Lunch with ARMLS on October 20, 2025.

As you know, WARDEX has entered into a Letter of Intent with ALLy MLS Holdings, LLC (the “LOI”). Although the Board has not yet seen the LOI, WARDEX shared with us a copy of the exclusivity provision in the LOI. That provision not only restricts WARDEX from discussing or negotiating potential transactions with other prospective acquirors of WARDEX (like ARMLS). It also requires WARDEX to cause its affiliates (which includes BHCMVAOR) not to discuss or negotiate other potential transactions during the exclusivity period.

The exclusivity period runs through October 27, but it automatically renews (on a rolling basis) for 7 additional days as long as the parties are working towards the signing of a transaction.

WARDEX did not consult us about the exclusivity provision before signing the LOI with ALLy MLS, and we were not aware that the exclusivity provision extended to WARDEX’s affiliates (including BHCMVAOR) until after we sent out the original meeting notice for the ARMLS Town Hall Lunch on October 6.

WARDEX is concerned about potential litigation risk from ALLy MLS if we proceed with holding the ARMLS Town Hall Lunch, as scheduled, next Monday. We strongly believe that WARDEX should not have signed an LOI restricting the actions of BHCMVAOR without first obtaining our consent. Nevertheless, at WARDEX’s request, we are suspending the ARMLS Town Hall Lunch until such time as we believe that WARDEX’s exclusivity requirements are no longer in force.

We apologize for any inconvenience this suspension has caused. We welcome any questions you have and we will continue to keep you as informed as we can about further developments, consistent with our confidentiality obligations.
